1. ACCEPTANCE OF TERMS

By accessing or using the JHS Training & Education Platform (“Platform”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, do not use this Platform.

JHS & Consulting LLP (“JHS,” “we,” “us,” or “our”) reserves the right to modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the revised Terms.

2. PLATFORM SERVICES

2.1 Description of Services
The Platform provides:

• Online training courses and educational content
• Professional development programs
• Course materials, videos, and downloadable resources
• Certificate issuance upon course completion
• Access to industry experts and trainers

2.2 Practicing Professionals as Trainers
All courses are delivered by practicing Chartered Accountants, Company Secretaries, and qualified professionals with active industry experience, not full-time educators. This practical expertise is a core differentiator of our training methodology.

2.3 Service Availability
We strive to maintain Platform availability but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any service without prior notice.

3.USER ACCOUNTS AND REGISTRATION

3.1 Account Creation
To access certain features, you must create an account with accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities conducted under your account
• Notifying us immediately of unauthorized access

3.2 Account Eligibility
You must be at least 18 years old or have parental or guardian consent to use this Platform.

3.3 Account Termination
We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. PAYMENTS AND REFUNDS

4.1 Payment Processing
All payments are processed through Razorpay, our third-party payment gateway. By making a purchase, you agree to Razorpay’s terms and conditions.

Important: JHS does not store or have access to your complete payment card details. All payment information is handled securely by Razorpay in compliance with PCI-DSS standards.

4.2 Pricing

• All course prices are displayed in Indian Rupees (INR)
• Prices are inclusive of applicable taxes unless otherwise stated
• We reserve the right to change prices at any time
• Price changes do not affect courses already purchased

4.3 Refund Policy
General Rule: All course purchases are final and non-refundable once access is granted.

Exceptions at our sole discretion:

• Technical issues preventing course access (we will first attempt to resolve)
• Duplicate purchases made in error (refund within 7 days)
• Course cancellation by JHS before commencement

Refund Process:

• Refund requests must be submitted to connect@jhsconsulting.in
• Processing time: 7 to 14 business days from approval
• Refunds will be credited to the original payment method via Razorpay

No Refunds For:

• Change of mind after accessing course content
• Partial course completion
• Failure to complete course within access period
• Personal circumstances preventing course completion

4.4 Payment Disputes
For payment-related disputes, contact Razorpay directly at support@razorpay.com or through their dispute resolution process. JHS is not liable for payment processing errors, failed transactions, or delays caused by Razorpay or your financial institution.

5. COURSE ACCESS AND USAGE

5.1 License Grant
Upon successful payment, you receive a limited, non-exclusive, non-transferable license to access purchased courses for personal, non-commercial use only.

5.2 Access Period

• Course access is valid for the period specified at the time of purchase
• Typically 6 to 12 months from enrollment date unless otherwise stated
• Access expires after the specified period and cannot be extended without repurchase

5.3 Prohibited Uses
You may not:

• Share login credentials with others
• Download, reproduce, or distribute course content
• Use course materials for commercial purposes
• Reverse engineer, modify, or create derivative works
• Record, screenshot, or capture course videos
• Resell, sublicense, or transfer course access
• Use automated tools to access the Platform

5.4 Enforcement
Violation of usage terms may result in immediate account termination without refund.

6. INTELLECTUAL PROPERTY RIGHTS

6.1 JHS Content Ownership
All Platform content including courses, videos, text, graphics, logos, audio, software, and study materials is the exclusive property of JHS & Consulting LLP or its licensors and is protected by Indian and international copyright, trademark, and intellectual property laws.

6.2 Trademarks
JHS & Consulting, JHS Consulting, and all related logos are trademarks of JHS & Consulting LLP. Unauthorized use is strictly prohibited.

6.3 User-Generated Content
If you submit content such as reviews, comments, or feedback, you grant JHS a perpetual, worldwide, royalty-free license to use, reproduce, modify, and display such content for promotional and educational purposes.

7. CERTIFICATES AND CREDENTIALS

7.1 Certificate Issuance
Certificates are issued upon successful course completion as per course requirements such as attendance, assessments, or assignments.

7.2 Certificate Validity
Certificates represent completion of JHS training programs and do not constitute:

• Professional licenses or regulatory certifications
• Endorsement by regulatory bodies such as ICAI, MCA, or SEBI
• Employment guarantees or qualifications

7.3 CPE Credits Where Applicable

• Credit recognition is subject to respective professional body approval
• JHS is not responsible if regulatory bodies reject credit claims
• Users must verify CPE eligibility with their governing bodies

8.DISCLAIMERS AND LIMITATIONS OF LIABILITY

8.1 Educational Purpose Only
Course content is provided for educational purposes. JHS does not provide:

• Legal, financial, tax, or investment advice
• Guarantees of career advancement, salary increases, or job placement
• Assurance that course content meets specific professional requirements

Users should consult qualified professionals for advice specific to their circumstances.

8.2 No Warranty
The Platform and courses are provided as is without warranties of any kind, express or implied, including but not limited to:

• Accuracy, completeness, or currency of content
• Fitness for a particular purpose
• Uninterrupted or error-free operation
• Compatibility with your devices or software

8.3 Content Accuracy
While we strive for accuracy, regulatory and tax laws change frequently. Users are responsible for verifying current legal or regulatory requirements. JHS is not liable for decisions made based on course content.

8.4 Limitation of Liability
To the maximum extent permitted by law, JHS shall not be liable for:

• Indirect, incidental, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages exceeding the amount paid for the relevant course

This limitation applies even if JHS has been advised of the possibility of such damages.

8.5 Third-Party Services
JHS is not responsible for:

• Razorpay payment processing errors, delays, or security breaches
• Third-party links or resources referenced in courses
• Internet connectivity issues, device compatibility, or technical problems beyond our control

9. USER CONDUCT AND RESPONSIBILITIES

You agree to:

• Provide accurate registration information
• Use the Platform in compliance with all applicable laws
• Not engage in fraudulent, abusive, or illegal activity
• Not disrupt or interfere with Platform operations
• Not harass, defame, or harm other users
• Not use the Platform to distribute malware, spam, or harmful content

10. PRIVACY AND DATA PROTECTION

Your use of the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our data collection and processing practices as described in the Privacy Policy.

11. TERMINATION

11.1 By You
You may terminate your account at any time by contacting connect@jhsconsulting.in. Termination does not entitle you to refunds for unused course access.

11.2 By JHS
We may suspend or terminate your access immediately without notice if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Misuse Platform resources or content
• Fail to make required payments

11.3 Effect of Termination
Upon termination:

• Your right to access the Platform and courses ceases immediately
• You must cease all use of JHS content and materials
• Provisions related to intellectual property, disclaimers, and liability limitations survive termination

12. DISPUTE RESOLUTION AND GOVERNING LAW

12.1 Governing Law
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Ahmedabad, Gujarat.

12.2 Dispute Resolution Process
Before initiating legal proceedings, you agree to:

1. Contact our Grievance Officer with your complaint
2. Allow 30 days for JHS to attempt resolution
3. Engage in good-faith negotiations

12.3 No Class Actions
You agree to resolve disputes individually and waive any right to participate in class action lawsuits.

14. INDEMNIFICATION

You agree to indemnify and hold harmless JHS & Consulting LLP, its directors, employees, and partners from any claims, damages, losses, or expenses including legal fees arising from:

• Your violation of these Terms
• Your use of the Platform or course content
• Your infringement of third-party rights
• Your fraudulent or illegal activities

15. FORCE MAJEURE

JHS is not liable for delays or failures in performance caused by circumstances beyond our reasonable control, including but not limited to:

• Natural disasters, pandemics, or government actions
• Internet service disruptions or cyber attacks
• Razorpay payment gateway outages
• Acts of terrorism or war

16. SEVERABILITY

If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force and effect.

17. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and Cookies Policy, constitute the entire agreement between you and JHS regarding the Platform and supersede all prior agreements.
